Mr. Goss' practice focuses on both commercial finance and lending, as well as commercial real estate matters. Geoff works with commercial lenders in the structuring, negotiation and documentation of a wide range of financing transactions, including (i) traditional commercial real estate mortgages; (ii) Historic, Tax Credit Financing; (iii) New Market Tax Credit Financing; (iv) Asset-based lending; (v) Senior Debt and/or Mezzanine financing; and HUD financing. Geoff also assists lenders and borrowers through loan modifications, workouts and forbearance matters. In addition and as a compliment to his financing practice, Geoff has a broad range of experience in commercial real estate, including acquisition, development, leasing and disposition of retail, office, warehouse and general commercial property.

Representative Matters

Advise lenders in connection with financing for acquisition, development, mezzanine, construction, and permanent commercial real estate loans for vacant land, office buildings, retail centers and multi-family residential projects.

Led multi-layer financing transaction resulting in conversion of a vacant but historic building into a hotel using, traditional, Historic Tax Credit and leveraged New Market Tax Credit financing.

Negotiate on behalf of lenders in connection with asset-based and mezzanine financing transactions.

Counseled mid-sized bank as leveraged lender in a New Market Tax Credit supported transaction.

Counsel to owner in development of 160,000 square foot building, including ground lease; construction financing; and negotiation of letters of intent and leases with the primary tenants.

Represented purchaser in acquisition, financing and subsequent leasing of a multi-tenant, 165,000 square mixed-use office and warehouse facility.

Guided the reorganization of mid-sized manufacturing company through conversion from corporation to LLC and sale of minority interest to large international manufacturer.

Coordinated the acquisition, financing, leasing and environmental clearance of 750,000 square foot mixed-use manufacturing/office/warehouse facility.

Led negotiation of multiple build-to-suit, in-line leases for regional franchisee of national furniture retailer.

Represented developer in acquisition and development of retail center with multiple big-box retailers, including negotiation of lease, development agreements and easement agreements.

Counseled landlord on leasing of a transportation and distribution facility.

Negotiated on behalf of tenant, the lease for a portion of a redeveloped, 350,000 square foot, automobile manufacturing facility; including shared facilities and space agreement.

Counseled developer on the conversion, redevelopment and leasing of a 115,000 square foot technical school facility into fitness center and multi-tenant office facility.
