Professional Experience

Ryan has significant experience representing healthcare providers, including physician groups, long term care providers, home health providers, hospice agencies, pharmacies, and other ancillary providers, in all aspects of healthcare transactions and related matters. He assists healthcare clients with the negotiation, due diligence, structure, and consummation of acquisitions, divestitures, leases, management arrangements, and joint venture arrangements. In addition, Ryan counsels healthcare clients on certain regulatory compliance matters, licensure, certification, and reimbursement issues, and other general business matters such as corporate structure and governance, the negotiation and drafting of service and supply contracts and agreements, and the development and implementation of policies, procedures, and manuals.

Ryan frequently assists clients, both lenders and borrowers, with various financing transactions, including conventional and capital market term financing, working capital facilities, and public and private bond placements. He also maintains a specific focus representing healthcare lenders and borrowers in healthcare specific financing transactions, which often involve complex collateralization and perfection issues and numerous regulatory, licensure, certification, and Medicare and Medicaid reimbursement concerns.  

In addition, Ryan counsels and advises clients on various general business and legal matters, including entity formation and governance issues, mergers, acquisitions, and other business transactions, contract review and negotiation, real estate matters, and financing arrangements.
