We are as committed to planning and protecting your financial interests as you are. Our main focus of our tax practice is business- and industry-specific strategic income tax planning for closely held and family businesses as well as a select handful of public companies. Our tax and wealth management attorneys have decades of experience on both the legal and accounting side of these complex transactions. In addition, members of our group are widely published and in demand locally and nationally as tax seminar speakers.

Experience

  • Representing taxpayers at the audit and appeal levels of the Internal Revenue Service (IRS)
  • Representing taxpayers before the U.S. Tax Court and District Court on high-level tax matters
  • Troubleshooting complex tax issues including all aspects of tax planning for middle market closely held and family businesses including tax planning for the entity, tax and estate planning and retirement planning for the owner operators and succession planning for the business
  • Structuring transactions to minimize taxes including acquisitions, sales of businesses, tangible and intangible property transactions, tax credits and opportunity zones and related matters
  • Advising on formation and operation of business entities, selection and change of form of business entity, accounting periods and methods and planning with and for related and affiliated entities
  • Consulting to entities in specific industries including real estate developers, real estate professionals, financial advisors, health care providers, manufacturers, cannabis, distributors, construction companies and contractors
  • Rendering Federal and State tax opinions on a variety of tax matters
  • Applying for and obtaining private letter rulings (PLRs)from the IRS on a variety of tax matters including late or potentially invalidated S elections, certain wealth transfer techniques, and charitable donation deductions for donations to certain state agencies
  • Designing compensation plans for key employees, service partners and family members
  • Designing and implementing buy/sell and management agreements between and among shareholders and related and affiliated entities
  • Working with middle market clients on a variety of matters including mergers and acquisitions, reorganizations, related party transactions, succession and transition planning and family business consulting
