As an associate with Walter Haverfield’s Business Services Group, Sachin focuses his practice in representing a diverse clientele comprising of public and private companies, entrepreneurs, private equity firms, and financial and institutional entities across a wide spectrum of corporate and securities transactions including mergers and acquisitions, banking and commercial finance, and general business counseling. Prior to embarking on his legal career, Sachin served in several clinical research and health care administration roles at the Cleveland Clinic and as an engineer for DePuy Orthopaedics, a Johnson & Johnson Company. Recognized for his professional achievements, Sachin has been selected as an ABA Business Law Fellow, and named to the Super Lawyers Rising Stars, Best Lawyers: Ones to Watch in America, Lawyers of Color Hot List, and Crain’s Cleveland Business 40 Under Forty lists.

EXPERIENCE

Acquisition and Disposition Transactions

  • Represented purchaser in acquisition of multiple long term care facilities valuing $775 million dollars.
  • Represented purchaser in acquisition and transaction financing of a health care portfolio which included a pharmacy, psychiatric hospital and multiple long term care facilities valued at $85 million dollars.
  • Represented purchaser in acquisition of multiple behavioral health facilities valuing $24 million dollars.
  • Represented Operator and Owner in a joint venture to acquire skilled nursing facility valued at $28 million.
  • Represented Seller in disposition of skilled nursing facility valued at $14 million.
  • Served as counsel to an American software business which had a subsidiary in the United Kingdom and was being acquired by an Australian entity.

Corporate Governance/ Corporate Structuring

  • Reorganized $12 million trucking enterprise to minimize risk of exposure.
  • Reorganized non-profit enterprise focused on aiding veterans and assisted in its acquisition and financing of residential properties in multiple states.
  • Structured and negotiated business relationship and associated agreements between a 650-acre medical city backed by an international private investment group, and client, a healthcare entity with a nationally recognized innovation executive from formation to dissolution.
  • Represented, and structured involvement of employee-owned entity in potential multimillion-dollar joint venture for the development of broadcast and communications infrastructure.

Commercial Finance and Banking

  • Represented healthcare portfolio in refinancing multiple loan transactions valuing $325 million.
  • Assisted Landlord in acquisition financing in a transaction valued at $295 million.

Commercial Contracts and General Corporate

  • Assisted food processing equipment manufacturer to enter into international distribution and sale agreements
  • Served in an embedded role within the legal department of a major outdoor power equipment manufacturer. Negotiated influencer contracts, distribution agreements, vendor agreements, developed standard operating procedures for various departments.
  • Represented and negotiated agreements on behalf of vendors to national football league franchise.
