Amanda is a partner in the Real Estate group, focusing on all aspects of commercial real estate. Prior to joining Walter Haverfield, Amanda worked as an in-house attorney for a publicly-traded real estate investment trust, in which she worked on behalf of landlords in a retail capacity, in areas including leasing, acquisition and disposition, landlord and tenant litigation and environmental matters.

Amanda independently manages many of the transactions that she works on at Walter Haverfield from start to finish. She is skilled at negotiating and drafting numerous types of real estate documents, including leases, license agreements, purchase and sale agreements, SNDAs and finance documents. Amanda is also experienced in business law, including the formation of business entities, structuring of operating agreements and the drafting and negotiation of asset purchase agreements.

Furthermore, Amanda excels at identifying and resolving issues that arise during real estate transactions, including issues such as environmental contamination, title defects, site-specific studies, wetlands and survey issues.

EXPERIENCE

REAL ESTATE
  • Represents buyers and sellers in the preparation and negotiation of purchase and sale agreements of real property.
  • Reviews and analyzes surveys, title commitments, and other due diligence materials and coordinates with brokers, title agents, surveyors and environmental assessors.
  • Drafts and negotiates license agreements and easement agreements, including reciprocal easement agreements, utilities easements and ingress and egress easements.
  • Experienced in drafting and analyzing documents for homeowners associations, including bylaws and master declarations of covenants, conditions, easements and restrictions.
  • Represents both landlords and tenants of all sizes in the preparation and negotiation of letters of intent, leases and subleases for retail, office, industrial and mixed-use spaces.
  • Drafts and and negotiates loan documentation for borrowers and lenders in asset-backed financing.
  • Experienced in the formation of limited liability companies and the drafting and structuring of operating agreements.
